A government official says the deal faces a "steep climb."

TGDaily: The Federal Communications Commission is making it clear that the proposed merger between AT&T and T-Mobile isn't a done deal. "There's no way the [FCC] chairman's office rubber-stamps this transaction," said an FCC official. "It will be a steep climb to say the least."

Under the terms of the agreement, AT&T will still pay T-Mobile $3 billion even if government regulators don't approve the merger.
